These Terms of Service ("Terms") govern your use ofthe website proseccoandpost.com and the services provided by Prosecco and PostLLC ("Prosecco & Post," "we," "us," or"our"), located at 7058 Pumpkinseed Dr, Johns Island, SC 29455. 1. Services
Prosecco & Post provides done-for-you postcard marketingservices for real estate professionals. Our services include the design, printing, and mailing of personalized postcards to your designated mailing liston a monthly subscription basis.
2. Eligibility
Our services are intended for licensed real estateprofessionals and businesses. By using our services, you represent that you areat least 18 years of age and have the legal authority to enter into these Terms.
3. Subscriptions and Payment
Subscription Plans
We offer the following subscription plans:
• Tranquillo — one postcard per month, $1.50 per postcard forprinting and postage, $100 one-time onboarding fee, 50 mailing address minimum
• Frizzante — two postcards per month, $1.50 per postcard forprinting and postage, $100 one-time onboarding fee, 50 mailing address minimum
• Spumante — two postcards per month with custom branding andemail templates, $1.00 per postcard for printing and postage, no onboardingfee, 50 mailing address minimum, paid semi-annually or annually
Billing
Subscription fees are charged monthly or as otherwise specified at sign-up. Printing and postage costs are charged based on yourmailing list size. All fees are non-refundable except as described in ourcancellation policy.
Automatic Renewal
Subscriptions automatically renew unless cancelled. You maycancel at any time by contacting us at cheers@proseccoandpost.com.
4. Your Mailing List
You are responsible for the accuracy and legality of yourmailing list. By submitting a mailing list to us, you represent that:
• You have the right tomail marketing materials to all addresses on your list
• Your mailing listcomplies with all applicable laws including the CAN-SPAM Act
• You will promptly notifyus of any addresses that should be removed Prosecco & Post is not responsible for undeliverable mailresulting from inaccurate address information.
5. Content and Intellectual Property
Our Content
Prosecco & Post retains all rights to postcard designs, copy, and marketing content we create. You receive a non-exclusive license touse content we create for you for your personal marketing purposes during yoursubscription.
Your Content
You retain ownership of your logo, photos, and other materialsyou provide to us. By providing these materials, you grant us a license to usethem to produce your postcards and related marketing materials.
6. SMS Communications
By providing your phone number to Prosecco & Post, whether through our website, sample kit request form, or other means, you consent toreceive SMS text messages from us related to your account, our services, andmarketing communications. Standard message and data rates may apply. You mayopt out at any time by replying STOP.If you are a real estate professional who has been contactedby Prosecco & Post through our outreach program, you may opt out of allfuture communications by replying STOP to any text message or emailing us atcheers@proseccoandpost.com.
7. Prohibited Uses
You may not use our services to:
• Violate any applicablelaw or regulation
• Send materials that arefalse, misleading, or deceptive
• Infringe on theintellectual property rights of others
• Harass, threaten, orharm any person
• Interfere with theoperation of our services
8. Disclaimers
OUR SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIESOF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT OUR SERVICES WILL BEUNINTERRUPTED, ERROR-FREE, OR THAT ANY PARTICULAR RESULTS WILL BE ACHIEVED FROMUSING OUR POSTCARD MARKETING SERVICES. REAL ESTATE MARKETING RESULTS VARY ANDARE NOT GUARANTEED.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROSECCO AND POST LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, ORPUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF OUR SERVICES, EVEN IFWE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY TOYOU FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOUPAID US IN THE THREE MONTHS PRECEDING THE CLAIM.
10. Indemnification
You agree to indemnify and hold harmless Prosecco and Post LLC and its officers, directors, employees, and agents from any claims, damages,losses, and expenses (including reasonable attorneys' fees) arising out of youruse of our services, your mailing list, or your violation of these Terms.
11. Cancellation and Termination
You may cancel your subscription at any time by contacting usat cheers@proseccoandpost.com. Cancellations take effect at the end of thecurrent billing period. We reserve the right to terminate or suspend youraccount if you violate these Terms.
12. Governing Law
These Terms are governed by the laws of the State of SouthCarolina, without regard to its conflict of law provisions. Any disputesarising under these Terms shall be resolved in the courts of Charleston County, South Carolina.
13. Changes to These Terms
We may update these Terms from time to time. We will notifyyou of material changes by posting updated Terms on our website with a neweffective date. Your continued use of our services after any changes constitutes acceptance of the updated Terms.
